TKO to repurchase $1 billion of its own stock

TKO has announced plans to repurchase $1 billion worth of its own stock.

In a press release on Monday, the company said it has entered into an accelerated share repurchase agreement with Morgan Stanley & Co. LLC for $800 million. TKO will receive an initial 3,161,430 shares of Class A common stock on September 16, with the final total being based on the stock’s average trading price. The transaction is expected to be completed in December.

After that, TKO will begin repurchasing up to $174 million in stock under a 10b5-1 trading plan, gradually buying shares from the open market.

The company also disclosed that it repurchased approximately $26 million worth of stock in a privately negotiated transaction on September 5. The seller was not identified.

TKO has taken out $1 billion in a first lien term loan to fund the transactions.

“This plan to repurchase $1 billion in shares reflects our conviction in the business and the intrinsic value of our stock,” said Mark Shapiro, President and COO, TKO. “The repurchases, together with the recent 100% increase to our quarterly cash dividend program, reflect our continued commitment to a robust and sustainable capital return program. We remain focused on executing our balanced capital deployment strategy to deliver long-term value for our shareholders.”

The dividend program Shapiro mentions above refers to an increase to its quarterly cash dividend program announced earlier this month. Shareholders now receive $0.76 every three months for each share in the company they own, up from the previous rate of $0.38.

Shares of the company are listed at $202.44 as of the morning of Monday, September 15, 2025.

TKO announces ‘takeover’ in Kansas City featuring WWE, UFC, PBR events

TKO has announced its first-ever “Takeover” series of events.

On Wednesday, the company revealed plans to run three events over five nights at the T-Mobile Center in Kansas City. The lineup begins with PBR (Professional Bull Riders) on Thursday, April 24, followed by UFC Fight Night on Saturday, April 26, and concludes with WWE Raw on Monday, April 28.

This marks the first time all three promotions will hold consecutive events at the same venue under the TKO banner. The deal was brokered through the Kansas City Sports Commission. The presenting sponsor is VeChain, which has been UFC’s official blockchain partner since 2022.

“Kansas City has collectively hosted dozens of UFC, WWE, and PBR events over the years, and it has become a top destination for each of these respective promotions,” said Peter Dropick, Executive Vice President, Event Development and Operations for TKO. “This is a unique opportunity to showcase these three premier properties in one city at the same time for the benefit of fans and visitors to the area.  We thank the Kansas City Sports Commission and the management at T-Mobile Center for making this possible.”  

“Kansas City has a great history of hosting world-class events, and we are thrilled to continue that tradition by partnering with three of the biggest brands in the sports and entertainment world,” said Kathy Nelson, President and CEO of the Kansas City Sports Commission and Visit KC. “These events will generate significant economic impact for our hotels and local businesses, as well as shine a spotlight on Kansas City through broadcast programming and social media.”

“Our longstanding relationship with UFC, WWE and PBR has resulted in some of T-Mobile Center’s most memorable events,” said Jay Cooper, General Manager, T-Mobile Center.  “The three together in one action-packed week will be an exciting opportunity for our guests to experience the very best in sports.  We are honored that TKO chose T-Mobile Center as the first location for this world-class event package.”

UFC was last in Kansas City for Fight Night: Holloway vs. Allen on April 15, 2023. WWE ran an episode of Raw at the T-Mobile Center on April 29, 2024. The most recent PBR event in the city was the Kansas City Outlaws’ homestand, PBR Outlaw Days, held from September 6 to 8, 2024.

  • Ricochet shared a brief moment reuniting with his friend and trainer Chuck Taylor during the post-show promo. Last night’s Dynamite took place in Kentucky, where Ricochet and Taylor are both from. Taylor is working behind the scenes in AEW right now but hopes to return to the ring in the future despite dealing with a career-threatening ankle injury.
    • “This is nuts, man,” Taylor told Ricochet. “I’m so happy you’re here, man. It’s great to see you.”
    • “That’s awesome. Chuck Taylor, bro. Literally my first day of training, he was there to help me out. And he’s been there basically my whole career,” Ricochet said. “So, to answer your question, once again, it feels awesome to be here. All Elite Wrestling – where the best come to wrestle.   • In her Mone Mag, Mercedes Mone wrote about attending the premiere for “The Killer’s Game”:
    • Yes, after multiple pay-per-views I was tired, but I prioritized supporting my friends, including my wrestle friends. And you know why? Because my wrestle friends have always supported me. Whether wrestling for New Japan in my first appearance post-WWE or my debut at AEW, the likes of Naomi, Bayley, Tamina, and others were there for me. It’s never easy for them with their schedules and with their own jobs but there they were – and there I’ll be!
    • So, when I got the invite for the premiere of The Killer’s Game starring my friend Drew McIntyre, you bet I was gonna be there to support. Ditto for Bayley, who also flew in. We’re debating that and then just seeing if that’s a time commitment that we even have at this stage.

CM Punk: WWE & UFC being under the same umbrella is ‘really exciting’

With Endeavor owning both companies, CM Punk thinks it’s exciting that WWE and UFC exist under the same umbrella.

TKO Group Holdings, a merged company with WWE and UFC, was officially created last September when Endeavor finalized its acquisition of WWE. Though they operate independently from each other, we’ve seen WWE and UFC collaborate both in business and on-screen. The UFC Apex in Las Vegas was the venue for NXT Battleground this June.

On Thursday, TKO shared a social media video with Punk discussing why he thinks WWE and UFC being under the same umbrella is important.

“There’s a lot of reasons why I think the crossover between UFC and WWE is important. We’re all under the TKO umbrella,” Punk said. “But to me, what’s important about this is it brings pro wrestling back to its roots. I think there’s a lot of similarities, there’s a lot of parallels. And at the end of the day, we’re all brothers and sisters. And we’re all fighters. So it’s really exciting for me to see.”

Punk has UFC experience, competing in two fights that took place in 2016 (against Mickey Gall) and 2018 (against Mike Jackson). The fights happened during the seven years Punk was away from pro wrestling.

A torn triceps has kept Punk away from the WWE ring since January. It’s probable that he’ll be cleared in time to return for a grudge match against Drew McIntyre at SummerSlam on Saturday, August 3.

  • TKO Group Holdings (WWE’s parent company) will announce its second quarter financial results on Thursday, August 8:
    • TKO Group Holdings, Inc., a premium sports and entertainment company, will release its second quarter 2024 results prior to the market opening on Thursday, August 8, 2024. The live teleconference to discuss these results and provide a business update is scheduled for 8 a.m. ET / 5 a.m. PT the same day.
  • Pro Wrestling NOAH shared a video of AJ Styles arriving in Japan for his match against Naomichi Marufuji this Saturday. Both Styles and Marufuji will be appearing at a press conference to promote the match on Friday.
  • In an interview with NOAH discussing Styles vs. Marufuji, Cody Rhodes indicated that he’d like to face Marufuji down the road:
    • It’s not hyperbole to say Marufuji on the other side of the ring is how important he is to modern pro wrestling and modern sports entertainment.   • SportsGrid asked Tony Khan if AEW or ROH could ever run a show at Hammerstein Ballroom in New York City:
    • Yes, I think that’s a very interesting idea. You know what’s interesting, I’ve never been to the Hammerstein Ballroom. I’d really like to go. I’d love to do it. I’ve seen great shows there. I think it’s a great venue. I’ve never been. But we also have these amazing relationships around New York, so it’s about right-sizing. I mean, for the right event, on the right night, it could make a lot of sense. And I’d imagine it would sell out very, very quickly because it’s not the biggest room. But it is a fascinating setup. It’s a really cool looking room. It’s got great acoustics and it’s a lot of fun from everything I’ve seen on television. I’d love to check it out in person. That’s a great point, it’s a great idea.
  • Khan named Arthur Ashe Stadium and UBS Arena as two of the New York venues that AEW has a great relationship with, but he thinks Hammerstein Ballroom could be a cool place for the right show:
    • But I really think that, for us, the Hammerstein Ballroom could be a cool venue sometime. It’s a great idea. I haven’t thought that much about it, but that’s why I love talking to great wrestling fans about ideas.
  • AEW shared backstage footage from the aftermath of Mariah May’s attack on Toni Storm following last night’s Dynamite. May didn’t give an answer when asked to explain her actions.
  • May did offer a brief storyline explanation for the attack while speaking with Sports Illustrated: “That felt like extra celebration for the work I did. That’s what that was.”
  • May said getting to headline last night’s Dynamite against Willow Nightingale was a great experience: “That was my first chance to main-event Dynamite. Being in the ring with Willow, who has already achieved so much, was a great experience. I’d love to wrestle her again. Who knows, maybe when I’m world champion.”
  • Mansoor posted a rap responding to Max Caster after Caster said he doesn’t want Mace & Mansoor in AEW/ROH.
  • CBS Sports asked Ronda Rousey how she would feel if her kids wanted to become MMA fighters:
    • If they wanted to, I would do everything that I could to make sure that they’re as great as possible, but I would never push them towards it. You can’t make somebody fight. It’s something that is inside of you that you can’t help. I’ll make sure they know how to fight because it’s a survival skill and it builds a lot of discipline… but whether or not they want to compete, it’s up to them.
  • TNA Turning Point 2024 will air live on TNA+ on Friday, November 29. The show is taking place in Winston-Salem, North Carolina as part of this year’s WrestleCade convention.
  • Paul Walter Hauser will speak at MLW Blood & Thunder in St. Petersburg, Florida this Friday, addressing Tom Lawlor’s attack on him from MLW’s anniversary show.

Dana White on WWE: ‘I haven’t worked with them at all’

Dana White says WWE and UFC are “very separate” despite both being under the TKO Group Holdings umbrella.

During the UFC 302 press conference on Saturday, White was asked if he’s learned anything from working with WWE since the merger. The UFC president responded that he has not worked with WWE at all.

“It’s very separate, I haven’t worked with them at all,” White responded. “I do what I do and they do what they do. They’re using some of the people from my team to help them in different areas business-wise but as far as putting on live events, WWE is very good at what they do and we’re very good at what we do, and that’s about as far as it goes with me.”

There were more layoffs at WWE last week related to the merger with UFC. Senior Vice President of Entertainment Relations Kristin Prouty was let go after nearly 20 years with the company. Head of Corporate Social Responsibility Beth Fisher was also let go.

“These cuts largely have to do with job duplication and they cut staff and have people doing similar jobs for both WWE and UFC, thus people from each side, but more the WWE side, are getting cut,” wrote our own Dave Meltzer about the layoffs in Friday’s Wrestling Observer Newsletter.

Last month, White was asked about UFC fighters, particularly Derrick Lewis, crossing over to WWE. White responded that he does not have a problem with his fighters doing so.

“Listen, some of the fighters who fight here have always dreamed about doing a WWE match or whatever it is and I don’t have a problem with that,” White said. “I didn’t have a problem with that when Vince was consistently f—ing me for no reason and now that that’s not the case anymore, I, obviously, would absolutely do it.”

TKO says WWE’s Nick Khan has sustained ‘strong’ partnership with Saudi Arabia

Though Vince McMahon is no longer involved, WWE’s business relationship with Saudi Arabia remains strong.

As part of a deal with the Saudi government, WWE has held PPVs/PLEs in the country since 2018. The long-term deal calls for WWE to hold two events in Saudi Arabia per year, receiving an estimated $50 million for each show. The next of those events will be King & Queen of the Ring on May 25.

Saudi official Turki Alsheikh recently told ESPN that an “enhancement” to WWE’s deal with Saudi Arabia will be announced later this month. Alsheikh said Saudi Arabia is hoping to host a future Royal Rumble or WrestleMania.

During TKO Group’s first quarter earnings call, TKO executive Mark Shapiro was asked about WWE potentially expanding its Saudi relationship. Shapiro said WWE could potentially look to increase the amount of shows it holds in the country, but nothing is planned right now beyond the two annual events.

Shapiro noted that, while there was speculation the WWE-Saudi partnership could be negatively impacted by McMahon being gone, WWE President Nick Khan has maintained a “very, very strong relationship” with Saudi Arabia.

What I would say there is, let’s remember, we have a strong and healthy relationship with the Kingdom through WWE and doing two annual events a year. And I’ll just remind folks… those deals were primarily and highly tied to Vince McMahon. And there was a lot of speculation with Vince being gone, ‘Would that impact the relationship in a negative way? Would they be looking to get out of it?’ And I would say proudly that Nick Khan, in particular, has developed and sustained, cultivated, nurtured a very, very strong relationship in a handoff from Vince.

They [Nick Khan and Saudi Arabia] have a lot of trust in each other. They have a lot of faith. We’ve been delivering on those events. Potentially we could look to do more events, but nothing is planned beyond those two events at this time. And we will continue to look at eventizing or festivalizing those WWE events more than we already do.

The UFC, which is also owned by TKO, announced an extension to its partnership with Saudi Arabia this week.

WWE announces deal to keep Raw on USA Network through end of 2024

WWE Raw will remain on the USA Network through the remainder of 2024.

Earlier this year, TKO Group Holdings announced that Netflix would be the new home of Raw beginning at the start of 2025. However, the deal with NBCU originally expired in October, meaning there would be a 3-month period during which nobody would own the rights to air the show.

In its First Quarter Earnings report released on Wednesday, TKO Group Holdings revealed a $25 million domestic media rights deal has been reached for Raw to remain on the USA Network for the rest of the year.

“WWE entered into a $25 million domestic media rights agreement with NBCUniversal for Raw to remain on USA Network for the fourth quarter of 2024,” today’s release reads.

Today’s report continues to state that the additional revenue has led to the company adjusting its projects for the year.

“Based on outperformance through the first three months of the year as well as a $25 million domestic media rights agreement for Raw for the fourth quarter of 2024, the Company is raising its guidance and now expects full year 2024 revenue of $2.610 billion – $2.685 billion and Adjusted EBITDA of $1.185 billion – $1.205 billion.”

TKO wasn’t involved in recent Vince McMahon stock sale

TKO Group Holdings had no involvement in Vince McMahon’s recent selloff of company stock.

It was revealed earlier this week that McMahon was selling approximately 25 percent of his stock in TKO, which is the parent company of WWE and the UFC. McMahon is expected to receive more than $400 million from the sale. He will still own approximately 8.3 percent of the company following this stock sale.

While appearing at a conference presented by investment banking company Morgan Stanley on Wednesday, Endeavor and TKO executive Mark Shapiro confirmed that TKO “did not participate in the recent sale” of McMahon’s stock.

Shapiro is the president and chief operating officer of TKO. He stated that TKO is not in conversations with McMahon and does not know his motives for the stock sale.

“We don’t know his motives, his plans or his timeline,” Shapiro said. “He doesn’t work for the company, doesn’t come into the office and he’s not coming back to the company. And that’s where we sit.”

McMahon resigned from WWE and TKO this January in the wake of the lawsuit that was filed against him by former WWE employee Janel Grant. McMahon, WWE, and John Laurinaitis are named as defendants in the lawsuit. McMahon is accused of physical and emotional abuse, sexual assault, and sex trafficking.

TKO was formed last September after Endeavor’s acquisition of WWE became official. McMahon was executive chairman of TKO prior to his resignation.

McMahon also sold off some of his TKO stock last November. At the time, he sold approximately 30 percent of the stock that he owned.

Vince McMahon selling approximately 25 percent of his TKO stock

Former TKO Group Holdings executive chairman Vince McMahon is selling roughly 25 percent of his remaining stock in the company. 

According to an SEC filing from Monday, McMahon is selling 5.35 million shares of TKO stock in a transaction being handled by Morgan Stanley Smith Barney. 

McMahon is expected to pocket more than $400 million from the sale. TKO stock closed on Monday at $81.67 a share. 

While the sale represents approximately 25 percent of the stock McMahon still owns in TKO, Dave Meltzer reports in Monday’s Daily Update that McMahon will still own roughly 8.3 percent of the company. Meltzer writes:

Vince McMahon today sold 5,350,000 shares of WWE stock, which is about 6.5 percent of the company, for $411.95 million. With the sale he now owns 8.3 percent of the company.

The 5.35 million shares represent approximately 6.5 percent of TKO Group Holdings shares. 

This latest transaction is the second major stock sale that McMahon has made over the last five months, as the disgraced former executive sold an additional 8.4 million shares worth roughly $700 million last November. 

McMahon resigned as executive chairman of TKO in January after being accused of sex trafficking and sexual assault in a lawsuit filed by a former WWE employee. 

WWE, UFC announce live event deal with OCVIBE, Honda Center in Anaheim

TKO has committed to bringing more live events to the city of Anaheim. 

The company announced today it signed a deal with OCVIBE to bring at least three UFC and three WWE events to Anaheim’s Honda Center through 2028. 

OCVIBE is a planned 95-acre entertainment district surrounding the Honda Center that will feature a new concert hall, nightlife, dining, hotels, apartments, and more. The city has committed $4 billion to its development. 

The announcement comes as Saturday’s UFC 298 and Monday’s WWE Raw are both scheduled for the venue. 10,699 tickets have been distributed to Raw, according to WrestleTix. UFC 298 had over 13,000 tickets out as of last month, with the get-in price being $255. 

“Hosting UFC and WWE at the iconic Honda Center allows us to bring some of the most electric live experiences to the residents of Orange County,” said Bill Foltz, CEO of OCVIBE. “The infectious excitement of these events will only become more powerful as we reimagine the downtown experience for Orange County at OCVIBE, creating a magnetic destination for entertainment, sports, and culture.”

Ari Emanuel, Mark Shapiro requested Vince McMahon resign from TKO

New details regarding Vince McMahon’s resignation from TKO Group Holdings were revealed today in an article by The Hollywood Reporter

The report cites multiple sources stating the graphic details in Janel Grant’s lawsuit against WWE, McMahon, and John Laurinaitis took top TKO executives by surprise. It also notes that Mark Shapiro and Ari Emanuel called McMahon and requested he resign the day after the lawsuit was filed. 

The Hollywood Reporter’s Alex Weprin wrote:

By the time the Royal Rumble began, McMahon was gone from TKO, seemingly for good, as (TKO) sought to distance itself from McMahon’s alleged past transgressions.

Those concerns culminated the evening of Jan. 26, when Emanuel and TKO president and COO Mark Shapiro called McMahon and told him it would be in the best interest of the company for him to resign. He agreed, and submitted his resignation.

Slim Jim pulling their sponsorship from the Royal Rumble in the wake of Grant’s lawsuit was said to be a tipping point for TKO. 

TKO also reached out to WWE’s broadcast partners following news of the lawsuit. 

Sources say that TKO executives reached out to all of the company’s rights partners after the news broke, well aware of the need to keep them in the loop on what was happening. 

One source noted to the Hollywood Reporter that had Grant’s lawsuit been filed earlier, the $5 billion deal with Netflix may have been put into jeopardy. 

Multiple sources stated that the graphic details included in the lawsuit took TKO executives and WWE talent by surprise.

According to multiple sources, the lawsuit and the graphic details included in it took senior leadership at TKO and company talent by surprise.

In addition to being asked to resign from the company, McMahon is also the focus of a federal investigation into allegations of sexual abuse and sex trafficking. Investigators are said to have met with several women in recent months who have also accused McMahon of sexual misconduct. 

WSJ’s report reads:

The other women named in the grand jury subpoena include a WWE contractor whom McMahon allegedly sent unsolicited nude photos and sexually harassed; a former WWE wrestler who said McMahon coerced her into giving him oral sex; former WWE referee Rita Chatterton, who publicly accused McMahon of raping her; a spa manager who said McMahon assaulted her at a Southern California resort; and a former WWE employee who alleged the head of talent relations at the company at the time, John Laurinaitis, demoted her after she broke off an affair with him.”

TKO notifies SEC of Vince McMahon’s resignation

TKO Group Holdings has confirmed Vince McMahon’s resignation. 

The company submitted an SEC filing on Monday officially recognizing that McMahon is no longer with the company. 

TKO’s filing reads:

On January 26, 2024, Vincent K. McMahon notified the board of directors (the “Board”) of TKO Group Holdings, Inc. (“TKO”) of his resignation from his positions as Executive Chair and a member of the Board, and any other positions, employment or otherwise, he has at TKO and its subsidiaries, in each case, with immediate effect as of January 26, 2024.

McMahon’s resignation came one day after former WWE employee Janel Grant filed a lawsuit against him, WWE, and John Laurinaitis. The suit accuses McMahon of physical and emotional abuse, sexual assault, and sex trafficking. McMahon later released a statement denying the allegations. He issued a further statement on Friday announcing he was resigning. 

McMahon’s statement from January 26 reads:

I stand by my prior statement that Ms. Grant’s lawsuit is replete with lies, obscene made-up instances that never occurred, and is a vindictive distortion of the truth. I intend to vigorously defend myself against these baseless accusations, and look forward to clearing my name.

However, out of respect for the WWE Universe, the extraordinary TKO business and its board members and shareholders, partners and constituents, and all of the employees and Superstars who helped make WWE into the global leader it is today, I have decided to resign from my executive chairmanship and the TKO board of directors, effectively immediately.

Vince isn’t coming back, but we do have to look at the top of TKO, and that’s not Levesque or even Nick Khan, but it is Ari Emanuel who made the decision to keep him in the company after so much had already come out and those on the Board who did a investigation and never interviewed Janel Grant, who was the person whose story ultimately started the ball rolling to uncover multiple payoffs. I don’t think Levesque was hung out to dry on purpose, nor is this a defense of him, but once they decided to do the press conference, he needed to be prepped on what to say and they failed him badly. 

Vince McMahon resigns from WWE and TKO Group

In the wake of the horrifying allegations made against him by Janel Grant, Vince McMahon is gone from WWE.

WWE president Nick Khan sent an email to staff on Friday night informing them that McMahon has resigned from his position as TKO Group Holdings executive chairman. Khan stated that McMahon will no longer have a role with either TKO or WWE.

Khan’s email can be read below:

I wanted to inform you that Vince McMahon has tendered his resignation from his positions as TKO Executive Chairman and on the TKO Board of Directors. He will no longer have a role with TKO Group Holdings or WWE.

McMahon’s resignation comes one day after Grant filed a lawsuit accusing him of physical and emotional abuse, sexual assault, and sex trafficking. TKO called the allegations “horrific” and said they would be addressing the matter internally.

Following his resignation, McMahon issued a statement maintaining that he will vigorously defend himself against what he calls “baseless” allegations:

I stand by my prior statement that Ms. Grant’s lawsuit is replete with lies, obscene made-up instances that never occurred, and is a vindictive distortion of the truth. I intend to vigorously defend myself against these baseless accusations, and look forward to clearing my name.

Slim Jim announced on Friday that it was pausing its sponsorships with WWE due to the allegations against McMahon.

Grant is a former WWE employee. Her lawsuit names McMahon, WWE, and John Laurinaitis as defendants.

McMahon previously retired from WWE in July 2022 amid a hush-money scandal that began when the WWE board of directors learned of his settlement with Grant. But McMahon remained WWE’s majority shareholder at the time and forced himself back into power in January 2023. That won’t be an option this time after WWE was acquired by Endeavor last September.

TKO responds to Vince McMahon allegations: ‘We’re addressing this matter internally’

TKO Group Holdings, the parent company of WWE, issued a statement on Thursday after a lawsuit with horrifying allegations was filed against Vince McMahon.

Former WWE employee Janel Grant filed the lawsuit alleging that she was the victim of physical and emotional abuse, sexual assault and trafficking at WWE. The suit names McMahon, WWE, and John Laurinaitis as defendants.

Grant is the former WWE employee whose 2022 settlement with McMahon led to him being investigated by the WWE board of directors. McMahon retired from WWE amid that hush-money scandal in July 2022 before later forcing himself back into power. Grant alleges that the investigation was a sham, stating that she was never contacted by the company about it despite being willing to participate.

Grant’s settlement with McMahon was supposed to be for $3 million, but her lawsuit claims that he stopped making payments after an initial $1 million installment. Grant is looking to void the agreement and is seeking unspecified financial damages.

A TKO spokesperson issued the following statement to Variety responding to Grant’s allegations:

Mr. McMahon does not control TKO nor does he oversee the day-to-day operations of WWE. While this matter predates our TKO executive team’s tenure at the company, we take Ms. Grant’s horrific allegations very seriously and are addressing this matter internally.

McMahon’s job title is executive chairman of TKO Group Holdings. The company was officially formed last September when Endeavor’s acquisition of WWE was finalized.

Ari Emanuel is the CEO of TKO Group Holdings, while Mark Shapiro is the company’s president and COO. Nick Khan is the president of WWE. Paul “Triple H” Levesque is WWE’s chief content officer.

McMahon was among the TKO representatives present at the New York Stock Exchange this Tuesday when Dwayne “The Rock” Johnson rang the opening bell.
